POSITION OVERVIEW
StepStone Group LP (StepStone) seeks a Sr. Legal Counsel for its New York, NY location.
ESSENTIAL JOB FUNCTIONS
Draft and negotiate legal documentation with respect to the firm’s Venture Capital and Growth Equity (VC GE) clients and investment products, including commingled funds, funds-of-one, and investment advisory relationships
Support VC GE fund and direct investments, both primary and secondary
Assist in fund formation and structuring for venture capital and growth equity commingled funds and funds-of-one
Coordinate with investment, finance, compliance, and operational due-diligence teams on all fund formation and investment activities
Manage outside counsel in connection with formation of new funds and select investment activity
Review placement memoranda, partnership agreements, legal due diligence materials and related documents for investments in venture capital and growth equity funds and startup companies and prepare analysis for inclusion in investment memoranda
Manage the negotiation and execution of documentation, including term sheets, letters of intent, limited partnership agreements, side letters, subscription documents, placement agreements, advisory agreements, and equity financing documents
Negotiate and draft documentation to execute secondary purchases and sales of fund interests and shares in startup companies, co-investments, and direct investments
QUALIFICATIONS
Must have a Juris Doctor degree
Three (3) years of experience in the position offered, as a Legal Associate or closely related position specializing in SEC regulations within the Venture Capital or Growth Equity industries. Must be a member in good standing of the New York State Bar
Advising clients on U.S. Securities Law, including Securities Act of 1933, Investment Advisers Act, and Investment Company Act
Advising clients on operational issues related to offshore entities, including corporate structures and securities filings in the Cayman Islands
Structuring and maintaining management companies and general partner entities, including internal governance and profit-sharing arrangements
Utilizing finance and accounting concepts, including valuation methods, waterfall modeling, management fee modeling and financial reporting standards applicable to private equity and venture capital funds, to efficiently review and draft Limited Partnership Agreements, negotiate with investors, and coordinate with internal finance and accounting teams
Advising fund managers on fundraising that is in excess of $100 million dollars with global investors with various investing considerations
Negotiating with various types of investors globally, including but not limited to pension plans, endowments, family offices and high net worth individuals
Advising clients on U.S. Regulatory Law, including ERISA and SEC Rules Regulations
Advising clients on Venture Capital Markets, including VC fundraising and market status (including pacing and fundraising)
Performing legal analysis of securities transactions and regulatory requirements
Negotiating and drafting of securities transactions, including transfer agreements
Conducting due diligence review and preparing due diligence reports
Conducting case and client relationship management
Two (2) years of experience must also include: Evaluating deal and securities risk, including analysis of market and industry risk, concentration and exposure considerations, regulatory and sanctions-related constraints, ESG/RI-related risks, and liquidity/exit limitations; and Coordinating the entire lifecycle of VC funds (including VC funds that invest in digital assets), including drafting and negotiating Limited Partnership Agreements (LPAs), Private Placement Memorandums (PPMs), and subscription documents.
May work remotely up to 2 days/week from the New York City metro area and evaluating leverage constraints to ensure sustainable financing solutions.
