What you will do:
The Corporate Counsel reports to the Vice President of Legal and serves as a strategic legal partner supporting procurement, engineering, commercial, and operational teams across the organization. This role is responsible for drafting, reviewing, and negotiating a broad range of commercial agreements, advising cross-functional stakeholders on active projects, and leading negotiations with vendors, contractors, OEMs, and engineering partners. This role will be a valued member of Electra’s legal team that includes the Vice President of Legal and Electra ’s i ntellectual p roperty professionals.
The Corporate Counsel also supports the development of scalable contracting processes, templates, and playbooks, while providing practical legal guidance on procurement, supply chain, and compliance matters, including cross-border considerations where applicable. This role requires exceptional business judgment, integrity, excellent written and verbal communication skills, and the ability to deliver pragmatic, solution-oriented legal support in a fast-paced, dynamic, and high-growth environment.
Responsibilities include:
Lead drafting, review, and negotiation of a wide range of agreements supporting the business, including equipment procurement agreements, master service agreements, product sales agreements, statements of work, real property agreements, licensing agreements, and confidentiality agreements
Serve as a day-to-day legal advisor and trusted business partner to the procurement, engineering, operations, commercial , and intellectual property teams on active projects and strategic initiatives
Take a hands-on role in negotiating commercial and legal terms with equipment vendors, OEMs, contractors, subcontractors, and engineering firms or partners, and consultants
Provide practical and risk-based legal guidance related to procurement, construction, suppl y chain operations, infrastructure projects, and vendor management activities
Support the develop ment, implementation , and improvement of contracting templates, negotiation playbooks, legal workflows , and contract administration process that enable efficient and scalable business operations
Partner with cross-functional teams to identify legal and operational risks and develop pragmatic solutions aligned with business objectives
Support broa der corporate legal initiatives and special projects as assigned, including policy development, governance support, and operational process improvements

What we need you to bring to the team:
Juris Doctor (JD) degree from an accredited law school
Active license to practice law and in good standing in the United States
4+ years of legal experience with a strong focus on commercial contracting, procurement, infrastructure, engineering, construction, manufacturing, energy, or other complex capital projects
Ability to provide clear, practical, and business-focused legal advice to internal stakeholders across multiple fu n ctions and levels of the organization
Comfortable working on multiple projects simultaneously in a dynamic and fast-paced environment, while effectively prioritizing tasks needed for the business
Ability to excel in a fast-paced, high-growth environment where priorities can shift quickly , and the legal team is expected to be pragmatic, creative, responsive, and business-oriented
Excellent written and verbal communication skills
A business-minded attorney who consistently demonstrates exceptional honesty, integrity, and professional judgment
Ability to lead negotiations to achieve beneficial results promptly. Experience with global or cross-border procurement, trade compliance, or supply-chain risk issues. Experience building , implementing, administering, or contracting templates, playbooks, or legal processes in an in-house environment
