Overview:
Guidepoint’s Legal team plays an important and global role across all our offices. The team provides their expertise, advise, recommendation and support to multiple parts of the business to ensure a seamless and efficient process.
We are currently seeking a Contracts Specialist to serve as the main point of contact between the legal team and internal/external stakeholders regarding all contract management, including drafting, reviewing, and negotiation. This role will report to our Associate General Counsel.
What You'll Do:
Drafting, reviewing and negotiating all types of contracts, including client and vendor agreements, non-disclosure agreements, contract amendments and renewals, Statements of Work, data processing agreements, SaaS agreements, etc., for global stakeholders in various company locations
Responsible for managing Contracts Queue and coordination of all aspects of contract management
Serve as primary contact between the legal department and internal and external stakeholders seeking contract review and revision, copies, questions, status updates etc.
Review, respond and manage contracts-related questions within the Contracts inbox
Manage Contract Template library and other knowledge management functions
Ensure compliance with contract approval policies and procedures
Liaise with Legal, Compliance, and Sales teams on contracts as needed
Special projects on an as-needed basis
What You Have:
Bachelor’s Degree, with at least 3 years' experience working with contracts
Law Degree is a big plus, but is not required
Contract management experience, preferably in-house
Experience reviewing, editing, interpreting and negotiating legal agreements
Experience reviewing and negotiating corporate master services agreements
Strong organizational and communications skills, ability to set priorities, handle multiple tasks and projects, track and follow up on projects
Excellent interpersonal skills and ability to work collaboratively in a team environment with internal and external contacts at all levels, including across various offices as necessary
Ability to digest complex compliance practices and the diligence to ensure that contractual drafting and review is always consistent with those practices
Ability to work independently and seek assistance or support as necessary
Ability to shift focus, adapt to changing priorities, and take initiative where appropriate, all while meeting deadlines and providing timely responses
Strong client service focus and flexibility
Must be comfortable in a fast-paced environment
Must handle confidential information with professionalism, discretion and integrity
Preferred Qualifications:
Apttus/Conga (Salesforce) contracts management system experience is very helpful
Knowledge of GDPR and other data protection laws and experience negotiation data processing agreements
Knowledge of legal developments in AI and how to incorporate them into contracts
What We Offer:
The annual base salary range for this position is $95,000 - $115,000 . Additionally, this position is eligible for an annual discretionary bonus based on performance.
