About the Role

CoreWeave is seeking a dynamic Senior Counsel, Capital Markets, to join our Legal and Government Affairs team. If hired, you will support a broad range of corporate transactional matters, including capital markets transactions (public and private debt and equity offerings), as well as M A and strategic investments. Reporting to the Associate General Counsel - Capital Markets, you will partner closely with key stakeholders, including Corporate Development, Treasury, Tax, Accounting, and Finance.

This is an exciting opportunity to work on sophisticated, high-impact transactions in a fast-paced, high-growth environment while serving as a trusted legal advisor to the business.

In this role, you will:

Support a range of complex corporate transactional matters, including capital markets transactions, M A, and strategic investments.

Draft, negotiate, and review a broad range of transaction documentation, provide advice on deal structuring and strategy, and conduct and support due diligence and ongoing compliance.

Partner with Corporate Development and other cross-functional teams to execute transactions.

Support legal and other departments in the management of post-closing obligations.

Work collaboratively to prioritize business objectives and support overall company success.

Work efficiently with outside counsel.

Support other internal legal initiatives and projects, as needed.

Who You Are:

J.D. from an ABA accredited law school and active admission in at least one state bar (New York, New Jersey, California, Washington D.C., or Washington preferred).

5+ years of relevant transactional experience, with a focus on corporate capital markets transactions, M A, and securities.

In-house experience at a high-growth tech company or publicly traded company, with relevant prior experience at a top law firm.

Ability to operate autonomously on certain corporate transactions and handle multiple matters simultaneously.

Strong interpersonal skills, including the ability to communicate and collaborate effectively with a wide variety of stakeholders and business partners, and build interdepartmental relationships at all levels, including senior-level executives.

Advanced problem-solving skills to quickly digest a problem, evaluate solutions, and then empower others to deliver.

Excellent drafting, project management, and legal interpretation skills.

A commitment to professional conduct, excellence, and attention to detail under time pressure.

Ability to balance legal risk mitigation against key business objectives and risks.

The base salary range for this role is $157,000 to $210,000. The starting salary will be determined based on job-related knowledge, skills, experience, and market location. We strive for both market alignment and internal equity when determining compensation. In addition to base salary, our total rewards package includes a discretionary bonus, equity awards, and a comprehensive benefits program (all based on eligibility).
